In Canada the governments in all of the provinces and territories require some form of name search report prior to incorporating a company and in many Canadian jurisdictions before you register a business name, partnership or sole proprietorship.
Prior to obtaining a Nuans name search report or similar name search, a person who wishes to register a company, partnership, business name or sole proprietorship in Canada will sometimes do a preliminary name search. The preliminary name search weeds out all or most of the similarities to the proposed name. Less money will be wasted if you have this done.
The government reviews the full name search report to ensure there are no conflicts before it allows you to register your business. Some Canadian jurisdictions such as the federal jurisdiction will reject a name even if it sounds like another name and is spelled differently.
As part of the service of a search house, it is normal practice for the search house to do a preliminary name search as part of the service of ordering the full Nuans name search. It is important that you know in advance of ordering your name search that the preliminary name search is part of the service. If you do not require a name search to register as would be the case in some territories or provinces for partnerships, business names or sole proprietorships then you would need to pay separately for a preliminary name search. I will explain this further below.
Just because you have a name search (Nuans report) is not a 100% guarantee the government is going to accept your name. If the Nuans search house does not perform preliminary name searches prior to ordering a full Nuans report you should look for another one. A Nuans name search report can be ordered without a preliminary name search but an experienced search house will do a preliminary name search first so you have less chance of your name being rejected by the province or territory in which you wish to register your business without charging you extra.
Consider it this way. You decide you want to register the name John’s House Cleaning Business Inc. There is no exact match but there is a registration for John’s Housecleaning Business Ltd. The search house you use does not tell you about John’s Housecleaning Business Ltd. because they do not pre-clear the name. You register your business and John of John’s Housecleaning Business Ltd. finds out about you. He has established himself in the same area where you live and is well known to the public for 20 or more years. He considers your business name as a conflict and he could take you to court and try to force you to change your company name because it is a conflict to him. Depending on how well he is established or the conflicts that arise after you start using your name, you could be requested by court order to change your business name. Can you imagine how much trouble that could be for you? Would you want to have a name that was that close to another business anyway? It would be a conflict for you as well.
Upon receipt of a Nuans report or similar name search report you must take some time to look over the report to ensure for yourself before in register a business that there are no names that are too similar to the one you proposed to use.
In Ontario you can register any company name as long as it is different in some way. Using the example above, both those names are the same except for one space and the ending of the name. The Ontario government would let that go through however the federal government would reject it for sure because the federal government scrutinizes names more closely.
If you are registering a business in Alberta, Ontario and possibly some of the other provinces or territories in Canada, you do not need a name search in order to register your name. The government does not as a practice pre-check these types of names and therefore it is your responsibility to make sure you do not have a name similar to another name. You could still be taken to court if you do not ensure your name is different than others. Actually the corporate governments in Ontario and Alberta allow for business names to be registered that are exactly alike.
In a situation such as this you would want to purchase a preliminary name search. To conclude, in a case where you are registering a partnership, business name or sole proprietorship and a name search is not necessary you should purchase a preliminary name search. As a matter of fact, a lot of searches houses will check your name for free prior to registering a business name or a sole proprietorship or a partnership. How to Register an Alberta Sole Proprietorship

The Partnership Act (Alberta) governs the registration of Alberta trade names which are also considered to be the same as Alberta sole proprietorships.
The Alberta Partnership Act indicates that any person who (i) is engaged in business for trading, manufacturing, contracting or mining purposes; and (ii) is not associated in partnership with any other person or persons and uses as the person’s business name some name or designation other than the person’s own, or the person’s own name with the addition of “and company” or some other word or phrase indicating a plurality of members in a firm; shall file with the Alberta Registrar a declaration in writing of the fact. Before you register your Alberta trade name it might be advantageous for you to review the clauses in the Alberta Partnership Act with respect to registering a trade name in Alberta.
In other words, if a person is carrying on business under a name other than his or her own name, you must register a Declaration of Trade Name in order to be in compliance with the laws of Alberta. The Alberta registration must be registered within six months of carrying on business.
If you decide to register an Alberta trade name you should be aware that an Alberta Nuans name search is not required. It is not a requirement of the statute that the name you chose for your Alberta trade name be unique. The Alberta government will accept a registration of a name that is exactly the same as another name registered as a sole proprietorship in Alberta. If you are going to register a trade name and you realize that there is another name registered which is exactly the same, you should not register the same name unless you have a connection with that business or have received consent in writing to the use of the name.
A preliminary name search should be done to ensure your name is available and a search house can do this for you for a small fee. Many search houses will clear your name in advance for free if you chose their service when registering your Alberta trade name.
You do not have to register a name when you carry on business as a sole proprietorship. If you want you can conduct business under your own name. The Alberta government does not allow individuals to register their own names as sole proprietorships. If you require an actual registration to show you are in business you would have to register another name. This might be the case where you are dealing with a client who wants to ensure you have a valid business registration. However, the federal government will issue an individual a Business Number (GST) which will be connected directly to that individual and it is not required that you register a different name to have a Business Number issued to you as a sole proprietor.
It is not possible for you to register a sole proprietorship on your own. The Alberta government mandates that a service provider must assist you. This is really a good thing since if you pick the right service provider they will check your name in advance for you free of charge. Look for this type of provider before you register and then you can be assured that your name is not only available in Alberta but clear right across Canada.
To terminate an Alberta trade name registration a form must be filed called a Declaration of Ceasing to Carry on Business under a Trade Name.
An Alberta Trade Name registration is perpetual which means that it will stay in place until you terminate the registration.
